London, UK, 17 August 2017 – British American Tobacco p.l.c. (BTI:NYSE) (“BAT”) has been notified of an unsolicited “mini-tender” offer by TRC Capital Corporation (“TRC”) to purchase up to 2,000,000 American Depositary Shares (“ADSs”), or approximately 0.087 percent of the outstanding issued ordinary shares of BAT (excluding treasury shares) as at the close of business on 16 August 2017, at a price of $60.13 per ADS in cash. Each ADS represents one ordinary share of BAT. TRC’s offer price is approximately 4.42 percent less than the closing price of BAT’s ADSs on 11 August 2017, the day before the mini-tender offer commenced.

British American Tobacco p.l.c. ("BAT") is pleased to announce that the UK Listing Authority has approved a Class 1 circular (the "Circular") and a prospectus (the "Prospectus") (dated 14 June 2017) in relation to its recommended offer to acquire the remaining 57.8% of Reynolds American Inc. ("Reynolds") that it does not already own (the "Proposed Acquisition").

British American Tobacco p.l.c. (“BAT”) and Reynolds American Inc. (“Reynolds”), have agreed the terms of a recommended offer for BAT to acquire the remaining 57.8% of Reynolds it does not already own. The transaction has been unanimously approved by the Transaction Committee of independent Reynolds directors established to evaluate the BAT offer. The transaction has also been approved by the Boards of Reynolds and BAT.
